Terms of Service

These terms are the agreement between you and Cognitelligence SHPK, a company registered in the Republic of Kosovo and trading as Xctrl, for your use of soshctrl. By creating an account or using the service you accept them. If you don't accept them, don't use the service.

1. Who can use soshctrl, and from where

You must be at least 16. If you're under 18, you confirm your guardian agrees to these terms. If you sign up for a company, you confirm you can bind it. Some social platforms set higher age limits of their own, and meeting ours doesn't exempt you from theirs.

Where you are matters. You confirm that you are not located in, and not a national or resident of, a country subject to comprehensive EU, UK or US sanctions, and that you are not on a restricted-party list. You also confirm that using soshctrl is lawful where you are. We rely on what you tell us and on the country your payment method and connection suggest. We can't verify your location, and if you conceal or misstate it — including through a VPN or proxy — that's your responsibility, not ours. Some of what's described here applies differently depending on your country; where a local law gives you stronger rights, that law wins.

2. Your account

Keep your login details to yourself. You're responsible for what happens under your account. Tell us at security@soshctrl.com if you think someone else has access. Give us accurate details and keep them current.

3. What the service does

You create a pipeline — a topic, a schedule, some models, and the social accounts you've connected. It finds a topic, writes and generates content, and stops for your approval. Once you approve, it publishes and collects engagement metrics.

4. The platforms you connect

You connect social accounts through each platform's own authorisation screen. We receive a scoped access key, never your password. Disconnecting stops future posts; it doesn't remove anything already published.

By using soshctrl to publish to YouTube, you also agree to be bound by the YouTube Terms of Service. soshctrl uses YouTube API Services. Google's handling of your data is governed by the Google Privacy Policy, and you can review or revoke soshctrl's access to your Google account at any time through the Google security settings page.

Publishing to Instagram or Facebook is likewise subject to Meta's terms, and publishing to TikTok to TikTok's. Each platform sets its own rules on content, automation and AI disclosure, and those rules apply to you on top of these terms.

When you revoke access — in soshctrl or on the platform — we delete the data we hold under that authorisation. See the Privacy Policy for the timescales.

5. You are the publisher

AI output can be wrong, out of date, biased, or accidentally similar to work or people that already exist. We don't fact-check it and we don't promise it's clear of anyone else's rights.

Every pipeline stops for your approval by default. Review the content before it goes out. If you switch auto-approve on, you're authorising us to publish without that review, and you take on that risk.

Either way, you are the publisher of record. The accuracy, the legality, the rights clearance and the platform compliance of each post are yours. Nothing soshctrl produces is legal, medical, financial or other professional advice.

6. Labelling AI content

Content made with soshctrl is AI-generated, and in a growing number of places you are legally required to say so.

In the European Union, if you publish AI-generated or AI-manipulated image, audio or video that resembles real people, places or events, you must disclose that it is artificially generated. Similar duties apply to AI-generated text published to inform the public on matters of public interest. In these terms you are the deployer of the AI system, and that disclosure duty is yours. Other countries — China among them — have their own labelling rules, and platforms impose their own on top.

What we do on our side: where the AI model that produced your content embeds a provenance signal or watermark, we pass it through unchanged and we do not strip it. You must not remove or obscure it either. We record your AI-disclosure choice per pipeline, but we do not apply platform-side AI labels for you — switching on YouTube's altered-content setting, Meta's AI-info control or TikTok's AI-generated toggle is your step, on each post.

7. What you must not do

Don't use soshctrl to create, store or publish anything that:

• breaks the law where you are or where you publish, or breaks the rules of a platform you're posting to;
• sexualises a minor in any way. We terminate for this immediately, without notice, and report it to the authorities;
• infringes someone else's copyright, trademark or other rights;
• uses a real person's face, voice, name or likeness without their permission — including public figures, performers and the recently deceased. Many countries protect these rights specifically, and some now criminalise unauthorised synthetic likenesses;
• defames, harasses, threatens or incites violence against anyone;
• creates intimate or sexual imagery of anyone without their consent;
• passes AI output off as human-made where that would mislead, or spreads disinformation or election manipulation;
• makes financial, medical, legal, gambling, alcohol, tobacco or weapons claims you aren't licensed to make;
• promotes terrorism or incites hatred against a protected group;
• is phishing, malware, spam or fake engagement.

And don't resell the service, get around our tier or spend limits, reverse-engineer it, probe it for vulnerabilities outside a report to us, share your credentials, deliberately overload it, give us false details, or use it to build a competing product or train a competing model.

Depending on how serious it is, we may warn you, suspend features, or close your account. Report abuse to abuse@soshctrl.com — tell us what the content is, where it is, and why it breaks these rules. We'll look at every report, act where it's warranted, and tell you what we decided and why.

8. Who owns what

Your inputs stay yours. We don't claim ownership of the content generated for you, and you can use it commercially. We don't use your content to train AI models.

Two honest caveats: the terms of whichever AI model produced the output still apply to it, and some countries don't grant copyright in purely AI-generated material. We make no promise that output is original or free of third-party rights.

You give us permission to host and process your content so we can run the service for you. soshctrl itself — the software, the name, the design — stays ours. If you send us feedback, we can use it freely.

9. Plans, payment and refunds

We are the seller. Cognitelligence SHPK issues your invoice and accounts for the tax. Paysera processes the card payment and is not the seller.

Prices, limits and billing cycles are shown before you buy and on our pricing page. Tax is added at checkout based on where you are. Subscriptions renew automatically until you cancel, and you can cancel any time from your billing portal — access runs to the end of the cycle you've paid for. Upgrades take effect straight away and are prorated; downgrades take effect at renewal.

Refunds: we refund a first subscription within 14 days of it starting, prorated for the time you haven't used. Extra AI spend packs can't be refunded once they've been consumed.

If you're a consumer in the EU, EEA or UK you have a statutory 14-day right to withdraw from a distance contract. If you asked us to start the service immediately and acknowledged that you'd lose that right, it doesn't apply.

If the service doesn't work as described and you're a consumer, you can ask us to put it right, ask for a proportionate reduction in what you paid, or — if we can't fix it, or the fault is serious — end the contract and get a refund for what you haven't used. We'll also supply the updates needed to keep the service working as described for as long as you're subscribed. Nothing in these terms limits consumer rights you have under your own country's law.

Each plan includes a fixed monthly AI budget. When you reach it, new runs stop until the next cycle or until you buy more. We never bill you past it. If a payment fails we'll retry and give you a grace period before suspending the account.

10. Things outside our control

Social platforms, AI model providers and our hosting providers are independent companies with their own terms. We can't guarantee a post will be accepted, that a platform won't restrict your account, that an API stays available, or that a particular AI model stays on offer. We may swap or withdraw models when a provider changes its terms, pricing or availability, and we can't override a provider's refusal to generate something.

11. Beta

soshctrl is in Beta. Access is at our discretion, features and limits can change, and there is no uptime commitment. We'll give paying customers at least 14 days' notice before a price change or a significant change to these terms takes effect.

12. Suspension and closing your account

You can close your account any time from Settings; we then delete your data as described in the Privacy Policy. We may suspend or close your account if you break these terms, if your use creates a legal or security risk, or if payment stays uncollected. Serious breaches — child sexual abuse material above all — mean immediate closure without notice.

If we suspend or remove your content or close your account, we'll tell you what we did and why, unless the law stops us. If you think we got it wrong, reply to that message and a person will review it.

13. No warranties

We'll provide the service with reasonable care and skill. Beyond that, it's provided as is. We don't promise it will be uninterrupted, error-free, or fit for a particular purpose, and we don't promise any specific AI output. This doesn't affect warranties that can't be excluded under the consumer law that applies to you.

14. Our liability

We're not liable for indirect or consequential loss, lost profits, lost data or lost business. Our total liability to you won't exceed whichever is greater: what you paid us in the twelve months before the claim, or €100.

None of that applies to death or personal injury caused by our negligence, to fraud, or to anything else that can't be limited under the law that applies to you — including consumer law in Kosovo and the EU.

15. Your indemnity

If someone brings a claim against us because of your content, what you published, your breach of these terms, or your infringement of their rights, you'll cover our reasonable costs. If you're a consumer, this only applies as far as your own country's law allows.

16. Changes

We may update these terms. If a change is significant we'll tell you by email or in the app at least 14 days beforehand, and the date at the top of this page will change. Carrying on using the service after that means you accept it; if you don't, close your account.

17. Law and disputes

These terms are governed by the law of the Republic of Kosovo, and the courts of Prishtina have jurisdiction. If you're a consumer, you keep the mandatory protections of your own country's law and can bring a claim in your own courts — nothing here takes that away.

Please write to legal@soshctrl.com first — we'll try to sort it out within 30 days. We don't currently take part in any consumer arbitration scheme. If you need one, your country's certified dispute-resolution bodies are listed at consumer-redress.ec.europa.eu.

18. Everything else

These terms and the Privacy Policy are the whole agreement between us. You can't transfer them; we can, if the business is sold. If a clause turns out to be unenforceable, the rest still stands. Not enforcing something once doesn't waive it. We may notify you by email or in the app, so keep your address current — a notice sent there counts as received. These terms are in English; a translation is for convenience only.

Neither of us is liable for delays caused by things outside our reasonable control — outages, provider failures, natural events, government action. You won't use soshctrl in breach of export-control law.
